Acceptance of these Terms
By using this website, you agree to comply with these Terms and Conditions.
Where you engage RDM Technical to provide services, these Terms and Conditions may apply together with any quotation, proposal, booking confirmation, statement of work, service agreement or other written agreement issued or accepted by RDM Technical.
Where a specific written agreement has been entered into between RDM Technical and a Client, the terms of that specific agreement shall take precedence over these website Terms and Conditions to the extent of any inconsistency.
No provision of these Terms creates a legal partnership, joint venture, employment relationship or agency relationship between RDM Technical and any Client unless expressly agreed in writing.
Provision of Services
RDM Technical shall provide agreed services with reasonable skill, care and diligence and in accordance with the agreed scope of work. The exact nature, extent and deliverables of any service will depend upon the individual engagement and may be set out in a quotation, proposal, booking confirmation or separate agreement.
RDM Technical may use suitably qualified associates, subcontractors or other personnel where reasonably required to deliver the agreed services. RDM Technical will remain responsible for services provided by personnel engaged by RDM Technical, subject to the applicable agreement.
Where a service requires specialist qualifications, occupational competence, awarding organisation requirements or regulatory requirements, RDM Technical will undertake the relevant activities in accordance with the applicable requirements.
RDM Technical does not guarantee the outcome of an external audit, awarding organisation review, inspection, regulatory decision or other decision made by a third party where that outcome is outside RDM Technical's reasonable control. This principle is expressly reflected in the IQA Services Agreement. IQA Services Agreement
Quotations and Scope of Work
Any quotation, proposal or estimate provided by RDM Technical is based upon the information available to us at the time. Unless expressly stated otherwise in writing, a quotation does not constitute a guarantee that services will be completed within a particular period or for a particular total cost.
Where the scope of work changes, or additional work becomes necessary due to circumstances outside RDM Technical's reasonable control, additional charges may apply. This may include circumstances where:
-
required information is not provided;
-
information supplied is incomplete or inaccurate;
-
agreed access is unavailable;
-
required learners, staff, vehicles, facilities or equipment are unavailable;
-
additional work is requested;
-
additional travel is required; or
-
unforeseen circumstances materially increase the work required.
Any significant variation to the agreed scope will, where reasonably practicable, be discussed with the Client before additional work is undertaken.
Bookings, Cancellation and Rescheduling
Confirmed bookings constitute an agreement for RDM Technical to reserve the relevant time and resources for the Client.
Unless a separate written agreement specifies otherwise:
-
Cancellation
-
Where a confirmed service is cancelled more than 30 days before the scheduled date, no cancellation charge will normally apply.
-
Where a confirmed service is cancelled 30 days or less before the scheduled date, the full applicable service charge may remain payable.
-
Where a Client reduces the number of services forming part of a confirmed booking, the reduction will be treated as a cancellation of the relevant service.
-
Where a service is cancelled after RDM Technical has commenced travel to the delivery location, the full applicable service charge may remain payable. The Client may also remain responsible for reasonable travel expenses already incurred, including mileage, parking, accommodation, tolls and congestion charges where applicable.
-
-
Rescheduling
-
Where a Client requests a change of date more than 30 days before the scheduled service, RDM Technical will use reasonable endeavours to accommodate the alternative date, subject to availability.
-
Where a Client requests a change of date 30 days or less before the scheduled service, the original service may remain fully chargeable and any replacement date may be treated as a separate chargeable service.
-
These principles are consistent with the cancellation provisions contained within the current IQA and commercial partnership agreements.
Cancellation by RDM Technical
RDM Technical will use reasonable endeavours to fulfil confirmed bookings. If we are unable to deliver a confirmed service, we will notify the Client as soon as reasonably practicable and, where appropriate, seek to:
-
agree an alternative date; or
-
provide a suitably qualified substitute.
Where RDM Technical cancels a confirmed service within 30 days and an alternative date or suitable substitute cannot reasonably be agreed, RDM Technical may issue a credit for the applicable service charge, subject to the terms of the relevant service agreement.
Client Responsibilities
The Client is responsible for providing complete, accurate and timely information reasonably required by RDM Technical to deliver the agreed services. The Client must ensure that RDM Technical is provided with reasonable access to any premises, systems, records, learners, staff, vehicles, equipment, facilities and information required to deliver the agreed services.
Where services involve training, assessment, IQA or apprenticeship delivery, the Client remains responsible for matters falling within its own organisational, regulatory or awarding organisation responsibilities.
The Client remains responsible for implementing recommendations, actions and improvements arising from consultancy, IQA or quality improvement services unless RDM Technical has expressly agreed in writing to undertake those activities.
Where a Client fails to provide the resources required for delivery, RDM Technical may be unable to provide the service and applicable charges may remain payable.
Fees, Invoicing and Payment
Fees will be agreed in advance wherever reasonably practicable. Unless otherwise stated in writing, fees are exclusive of VAT where VAT is properly chargeable.
RDM Technical may charge separately for reasonable expenses incurred in delivering services, including:
-
mileage;
-
parking;
-
accommodation;
-
tolls;
-
congestion charges; and
-
other reasonable travel or delivery expenses.
t
Invoices must be paid within the payment period stated on the relevant invoice or applicable service agreement. Where an invoice is genuinely disputed, the Client should notify RDM Technical in writing as soon as reasonably practicable, identifying the amount and basis of the dispute.
Undisputed amounts remain payable in accordance with the agreed payment terms.
RDM Technical reserves the right to charge statutory interest and recover applicable compensation or reasonable recovery costs in respect of overdue undisputed amounts where permitted by law. IQA Services Agreement

No Guarantee of Training, Assessment or Regulatory Outcome
RDM Technical will provide services in accordance with the agreed scope and with reasonable skill and care. However, we cannot guarantee that a learner, organisation, qualification, programme or service will achieve a particular result where that result depends upon factors outside our reasonable control. This includes, where applicable:
-
learner performance;
-
assessment outcomes;
-
awarding organisation decisions;
-
external quality assurance decisions;
-
audit outcomes;
-
regulatory decisions;

decisions made by other third parties.
The Client remains responsible for decisions made by the Client based on information or recommendations supplied by RDM Technical.
Liability
Nothing in these Terms excludes or limits liability which cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which applicable law does not permit to be excluded or limited.
Subject to the above, RDM Technical shall not be liable for:
-
loss of profit;
-
loss of revenue;
-
loss of business;
-
loss of business opportunity;
-
loss of anticipated savings;
-
loss of goodwill or reputation; or
-
indirect or consequential loss,
except to the extent that such liability cannot lawfully be excluded.
For services provided under a specific written agreement, the liability provisions and financial limits contained within that agreement will apply.
Force Majeure
RDM Technical will not be liable for failure or delay in performing its obligations where that failure or delay results from circumstances outside our reasonable control. Such circumstances may include, where applicable:
-
serious illness or unforeseen personal circumstances;
-
industrial action;
-
disruption to transport;

severe weather;
-
fire;
-
flood;

Termination of Services
Where services are provided under a specific agreement, termination will be governed by that agreement. Unless otherwise agreed, either party may terminate an ongoing service arrangement by providing written notice.
RDM Technical may terminate or suspend services where a Client:
-
materially breaches these Terms or an applicable service agreement;
-
fails to pay undisputed invoices;
-
repeatedly fails to provide information or resources required for delivery; or
-
engages in conduct which materially affects RDM Technical's ability to provide services.
Termination will not affect any fees, expenses, cancellation charges or other obligations which have accrued before termination.
Non-Solicitation and Direct Engagement
Where RDM Technical introduces or supplies personnel, associates, subcontractors or other professional resources to a Client, the Client must not circumvent RDM Technical by directly engaging those individuals where a separate agreement or applicable service terms prohibit such engagement.
Any applicable non-solicitation, non-circumvention or transfer provisions will be set out in the relevant service or supply agreement. Where a specific agreement contains a longer or more detailed restriction, that agreement will take precedence.
Complaints
If you are dissatisfied with any service provided by RDM Technical, please contact us as soon as reasonably practicable. We will investigate complaints fairly and promptly and will seek to explain our position and resolve the matter where possible. Complaints should be sent via e-mail to info@rdmtechnical.co.uk
Changes to These Terms
We may update these Terms and Conditions from time to time. The latest version will be published on this website together with the applicable date of revision. Changes to these website Terms will not retrospectively amend a specific written agreement already entered into with a Client unless expressly agreed between the parties.
Severability
If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, that provision shall be treated as severed to the extent necessary and the remaining provisions shall continue in full force and effect.
Entire Agreement
Where a specific written agreement, quotation, proposal or statement of work has been agreed between RDM Technical and a Client, that document, together with any documents expressly incorporated into it, forms the contractual basis for the relevant services. These website Terms and Conditions shall apply to the extent that they are applicable and do not conflict with the specific agreement.

These Terms and Conditions and any dispute or claim arising from them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising from or connected with these Terms and Conditions, subject to any mandatory legal rights which may apply.
